This lecture, based on a case study, will provide practical approaches and
suggestions on credit management in accordance with Chinese law.
It has become commonplace for sellers to supply goods to their clients or customers
on credit terms. However, credit involves the risk that the debtor will default in
payment. Apart from that the buyer may withhold payment where he alleges that the
goods are defective, more commonly he fails to pay because he is unable to do so,
normally because of financial difficulties. If the buyer is insolvent the seller's
personal claims will often be worthless. A real claim to a specific item of
property will allow the creditor to claim that piece of property in priority to
other creditors; though, in practice it does not always work. Obviously, in order
to realize credit rights a tailored arrangement needs to be professionally designed
for a particular creditor in particular circumstances.
Practical approaches include, but are not limited to, Retention of Title, Agent
Sale, Commercial Investigation, Negotiable Instrument, Securities, Litigation and
Arbitration Strategy, Debt Transfer. Therefore, this lecture will be divided into:
1. quasi-security approach (retention of title and agent sale);
2. security approach (lien, pledge, mortgage, deposit, and guarantee );
3. debt transfer and negotiable instruments;
4. creditworthiness and commercial investigation; and
5. litigation and arbitration strategy.
Speakers:
Mr. Wang (Peter) is a PRC lawyer with a proven track record of successfully solving
problems that foreign investors and traders face when investing in China or trading
with Chinese partners. He currently works for Beijing Zhaojun Law Firm as the
Director of the International Department, where he is responsible for foreign
investment and trade legal service. Apart from his Master Degree in Business
Management and LLB, he obtained LLM in commercial law and maritime law in the UK.
Peter's professional experience covers 17 years and includes Vice-Director of
Zhongyuan Fahui Law Firm, Director on International Department of Beijing Yiming
Law Firm and Director of International Department of Beijing Zhaojun Law Firm.
Moreover, for the past 17 years he has been an attorney for an environment bureau,
a land bureau, a security bureau, and 21 corporations.
Currently, he and his department concentrate on foreign investment and trade legal
services and have provided particular services for foreign clients, including
British Council, XPC, Adverplay, Rio Tinto, etc, and have long term co-operations
with foreign agencies, including Samul Lee Law Corporation, International Risk,
HOWARD M.BAIN, etc. His comprehensive experience and educational background enable
him to provide legal services and suggestions on investment and trade risk
identification and control measures.
